1. Acceptance of Terms

By accessing or using the CharacterX application (the "App"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the App. These Terms apply to all visitors, users, and others who wish to access or use the App.

2. User Accounts

When you create an account with us, you guarantee that you are above the age of 13 and that the information you provide us is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the App and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. User-Generated Content

Our App allows you to create, post, and share content, including custom AI characters and conversations ("User Content"). You are solely responsible for the User Content that you post on or through the App, including its legality, reliability, and appropriateness.

By posting User Content, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the App to provide the App's functionality. You retain any and all of your rights to any User Content you submit, post, or display on or through the App and you are responsible for protecting those rights.

You represent and warrant that: (i) the User Content is yours (you own it) or you have the right to use it and to grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the App does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.

4. Prohibited Conduct

You agree not to use the App to create, post, or share any content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
• Infringes any patent, trademark, trade secret, copyright, or other intellectual or proprietary rights of any party.
• Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

We reserve the right to terminate your access for violating this section.

5. In-App Purchases

If you purchase any of our paid services ("In-App Purchases"), you agree to pay all fees and applicable taxes incurred by you or anyone using an account registered to you. We may revise the pricing for the goods and services offered through the App at any time. All purchases are final and non-refundable except as required by applicable law.

6. Intellectual Property

The App and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of CharacterX and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CharacterX.

7. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the App. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimers and Limitation of Liability

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CHARACTERX MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS.

IN NO EVENT SHALL CHARACTERX, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which our company is established, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms.
